Audit Rights- purchaser can audit MS once a year to verify compliance

Marketing - parties should make commercially reasonable efforts to ensure license or rights cover the use of marketing materials from the purchaser

Terms and Termination - the party can’t terminate the deal due to any breach by the purchaser

5 days to propose a trustee on closes and MS will pay for it (seems normal)

MS can’t buy % or all of Ubisoft for 10 years

CMA can extend the time periods in the undertakings ??? " The CMA may, in response to a written request from the Parties, or otherwise at its own discretion, grant an extension to any time period referred to in these undertakings."

I do wonder what happens if Ubisoft is acquired by a different company within the next ten years (very possible).

Would Microsoft potentially loose the cloud gaming rights for that 10yr period forever?

Do Ubisoft still have to offer the cloud gaming rights back to MS if they are sold to a competitor? What if Sony acquired Ubisoft, they could technically advertise all these titles as cloud titles on the PS homepage.

From what I understand the cloud gaming rights for any titles released after the 10 years revert back to MS but there could be a big hole in cloud gaming rights for anyone playing older titles.

I sincerely hope this deal goes through , specifically in time so MS can save Crystal Dynamics and Eidos from Embracer. I am hopeful that by teh end of October, MS will also announce the acquisition of both of these studios.

I have been on the save CD/Eidos train for what seems like a eternity now
