Looking at the documents they were originally going to refer it to Phase 2
It would have been far better, though, if Microsoft had put forward this restructure during our original investigation. This case illustrates the costs, uncertainty and delay that parties can incur if a credible and effective remedy option exists but is not put on the table at the right time
PfffftâŚfucking idiots.
From past cases of then Iâve seen this past week, this is the wording the use to basically approve a deal.
Indeed. This is all on CMA. They were the ones who stopped communicating with MS and ABK.
They killed the cloud gaming âmarketâ just to save face, what a bunch of morons.
Hope they get torn apart when the UK government inevitable finds that it is not possible to become âa sillicon valleyâ when you have an overzealous (and dishonest) regulator.
Seriously, what a circus
Like I said before, there is nothing to worry about ever since the announcement of the ubisoft deal. It is clear that CMA agreed with this solution, so why do ppl think theyâll reject it lol.
If the CMA had made that one of their behavioral remedies Iâm sure Microsoft would have taken it. Instead they proposed 3 nonstarter options that would have broken up ABK in ways that no longer made them desirableâŚwhich was their intention. CMA remains a clown shoes organization.
I thought the CMA doesnât accept remedies
It was a structural remedy of sorts. Microsoft had to give up on the cloud rights to over 50 years worth of ABKâs catalogue during the formative period of the streaming market.
I think itâs just for games that come out after the deal is signed and for 15 years
Sure. However, after the 15 year contract expires, Microsoft can do whatever they want with future ABK output.
Never doubted Tom Warren. Wow. Weâre officially in the endgame.
Activision was founded in the 1980s and Microsoft will only have the rights to games developed in 2039 and onwards. If cloud gaming doesnât take off by then, it probably never will⌠Meaning MS cannot leverage the ABK catalogue during the early years, which is supposedly why the deal was blocked back in April.
Well, this is done now.
Thank God.
I sincerely hope this deal goes through , specifically in time so MS can save Crystal Dynamics and Eidos from Embracer. I am hopeful that by teh end of October, MS will also announce the acquisition of both of these studios.
So apparently Microsoft cannot any % or all of Ubisoft for 10 years as part of this remedy. So theoretically, if Microsoft wanted to reacquire the streaming rights, they could buy Ubisoft in year 11đ.
As per reksveks from OtherEra :
-
Delivery of Activision Games - sublicensing the cloud streaming rights and tech material/documentation for those rights
-
Licences to MS - purchaser canât sell the rights back to MS exclusively
-
No Interference with Purchaserâs Cloud Streaming Rights - MS canât impact Ubisoft rights
-
Trademark License - purchaser gets a royalty and non-exclusive sublicensable trademark rights
-
Game Technical Support, Game Ports and Technical Work, and Platform Work - purchaser can request ports and ms can charge purchaser
-
Development and Release Date Parity - purchaser needs to have the ports/streaming versions ahead of commercial launch including dlc
-
Sale of Purchaserâs Cloud Streaming Rights for Activision Games and Related DLC by Purchaser - Need to read this more
-
Audit Rights- purchaser can audit MS once a year to verify compliance
-
Marketing - parties should make commercially reasonable efforts to ensure license or rights cover the use of marketing materials from the purchaser
-
Terms and Termination - the party canât terminate the deal due to any breach by the purchaser
-
5 days to propose a trustee on closes and MS will pay for it (seems normal)
-
MS canât buy % or all of Ubisoft for 10 years
-
CMA can extend the time periods in the undertakings ??? " The CMA may, in response to a written request from the Parties, or otherwise at its own discretion, grant an extension to any time period referred to in these undertakings."
Warren sources were right, ha.
