So what we know on the subject we know from the Resident Evil Village contract. In that they had a clause that stated for one year they have right of first refusal (if a developer wants to put their game on a subscription service they have to offer it to Sony first), right to match (if a developer is offered a deal to put their game on a subscription service they have to tell Sony and give them an opportunity to match the deal) and the right to enter negotiation to put the game on their subscription service that the developer has to enter “in good faith”. So basically Sony has first dibs on the game so far as subscription services go and can choose to put it on PS+ at any time within the first year (but this has to be negotiated and paid for separately to the existing contract).
We don’t know for certain the deals are the exact same but given the circumstances, I’d guess the final part of this clause is what we are looking at with Deathloop. Sony had a one year period in which they could choose to open negotiations to put Deathloop on PS+ and they have decided to do so - Microsoft was contractually required to enter this negotiation “in good faith” (that is to say, they can’t just dismiss it out of turn or make unreasonable demands in an effort to block it - they’d have to negotiate a fair price for what Sony were asking).
The positive side of all this is that the negotiation likely happened fairly recently - and the only contractual guidelines to the deal would be that it has to be done “in good faith”. This likely does not require Microsoft to accept any part of the deal they wouldn’t want to agree to - such as extending the games exclusivity period or making it a “streaming exclusive” to PS+. So while they were required to allow the game to go to PS+ I don’t think it blocks Microsoft from also releasing the game on Game pass.
That relies on a bit of speculation on my part that it is using the same contractual basis, so take it with a grain of alt.
If MS can’t legally put it on GP, do we think they would do something else to counter offer? Like, an extremely reduced launch price ($9.99), or GWG if the deal doesn’t necessarily mention it. I don’t see MS just launching the game without being on Game Pass or without any other kind of value offer to go around it.
I doubt it, it’s probably not worth the headache if Sony felt they were undermining their deal (it’s worth remembering that if I am right about the contractual nature of this - Sony isn’t getting this for free. They are still paying Microsoft some amount of millions for Deathloop to come to PS+) especially with the Activision deal in the regulatory phase right now. Being seen as screwing over Sony to get out of contractual obligations for the Bethesda acquisiton would not look good for them right now.

Yeah but even if they found a way to do so without technically breaching the contract it could still be seen as a dirty move. As their prior acquisition it would directly reflect on their current one, especially given Microsoft’s current tactic is promising to play nice with Sony and respect existing contracts and so on. In the eyes of regulators - what is to stop Microsoft simply doing the same thing with Call of Duty if they were to pull some trick with Deathloop. It’s just not worth it.
I think this is all largely moot though, I don’t personally think there’s any kind of exclusivity tied to the Deathloop PS+ deal, but we’ll find out soon enough I guess.
There would be nothing but respecting contracts. If the contact says not to put on GP, then not putting it on GP would be 101 respecting the contract. Playing nice outside the bonds of contract is nothing I or anyone should expect, I don’t know what kind of economic system you think we live under lol
If Sony were to pay to release Deathloop exclusively on PS+ and then Microsoft were to make it basically free on a competing platform or something to that effect at the same time to get around this - it doesn’t really matter if they’ve technically breached the contract or if there’s no requirement for them to “play nice” - it undermines the intent of the contract and sends a bad message to regulators over how Microsoft would act in regards to future acquisitions.
Microsoft’s entire strategy around the Activision acquisition is to do exactly the opposite of this - they want to be seen as the “good guys” in all this rather than a threat to the wider industry so as to avoid additional scrutiny or restriction. It’s why they’ve very publicly made a big deal that they will not only respect the current deal for Call of Duty but will go above and beyond it by making the franchise available on competing platforms with feature and content parity. Anything that you’re suggesting only undermines this - “if Microsoft is willing to do this sort of thing with Deathloop why wouldn’t they do it with Call of Duty” they’d reasonably ask. At the end of the day, as much as I’m excited for Deathloop it’s one relatively minor game when compared to the likes of Call of Duty or World of Warcraft - they’re not going to do anything with this game to hinder getting those.
