Can someone explain where we are at with regards to the KFC & CMA.

Is it something like,

FTC - Has until midnight to get a motion from 9 court otherwise they can’t block, they may continue with a admin court hearing in august?

CMA - talking but no idea what’s gunna happen. I can’t see them in the next 4 days being ok with stuff. So maybe they re-open with a new deadline and allow Xbox to close before they re-rule??

NZ - ?

I wonder if we hear anything from the CMA today in terms of the order being lifted or amended

Who thought in January 2022 that we would have a real 24 hour countdown 18 months later?

I’m optimistic, but I understand your position.

Hopefully it’s all done in 24 hours. And although I’m also very optimistic about the CMA front, it’s still one last barrier to overcome.

The deal only closes when it closes (although some will stay hopeful/worried even after that :slight_smile: )

As someone born in NZ and lives in Aus. We will just go with the majority on this obviousky its not based on much but just what we do.

They will wait after the 9th court deadline, same as when they waited after the judge Corley decision.

The problem with Patcher is when he gets in love with his internet fame and starts to talk about anything beside his expertise, then he starts to be as pertinent as a pornstar being questioned about politics.

Still Patcher was too optimistic and predicted the deal to close in May, so be cautious.

Yeah would make sense

If youre feeling any anxiety right now than yhe best advice is to stay off the internet for the next 24 hours than come back, if nothing happened were in the clear

Im not going because i have enough confidence than no 2 federal judges are going to entertain the FTC and fail to see through their bullshit and grant emergency relief in less than 24 hours

But thats just me, if you feel otherwise than go and come back in a day.

I seem to have missed something here.

I know FTC have appealed and Corley has dismissed the stay request, as expected.

But what specifically has happened to give confidence in this fixed/24hr deadline?

If the 9th circuit court does not extend the TRO, Microsoft can close in 23 hours.

From my limited understanding….

The FTC are asking for emergency relief by 11.59 pacific today. That is because they simply intend to drag the process beyond the end date in the hope that kills the deal as MS and ABK have indicated.

The emergency relief they ask for would either be to cover the process of appeal of the PI decision - a few months in all likelihood OR enough time to allow a hearing on the temporary stay to take place to let the appeals court take a better view on it. A week or two. MS oppose both and say they can file a response to the motion today so no need for any delay.

The FTC have no real significant arguments to overturn the PI in the long run but have raised a lot of points of law (deliberately) to try and prompt the appeals court to say ‘well we can’t decide this in a few hours without hearing from the parties let’s give ourselves a few days to review or a week or two to arrange a hearing’.

If the appeals court reject the FTC appeal for a temporary stay - MS can close. The FTC can of course still do their own court process or indeed try and rip the merger apart in federal court though they almost certainly won’t bother which is why their only activity is to try and delay this past the 18th.

I don’t think it’s about extending the TRO it’s about granting emergency stay isn’t it?

Presumably we MIGHT hear from the the circuit before that, with a judgement either way…or they’ll just let it lapse.

It amounts to the same thing…

There are two consequences of the appeal.

1/ the FTC can say that they fought until the end and the laws are bad and needs to be changed. it will please their fans (mainly) among democrat people.

2/ a tortuous consequences was that L. Khan was able to dismiss all critics about this case during her hearing yesterday by just saying “case in going on, I can not comment”

But 1/ is the real thing, they want to convince people that the system is bad (and not their arguments) and needs to be changes. Remind that she ask to have a CMA-level (probably more) of independence with no possibility of counter.

After that, we will need to wait for a CMA reaction to remove blocking probably during week end or early monday.
